MISSION STATEMENT

Before Internet there were few options to traditional ways and entrepreneurs had little choice but accept the terms and conditions presented by those calling themselves venture capitalists -- but who might turn out to be vultures. This site has been established to help provide that alternative by introducing those who have resources to persons who need help starting a company or making an existing enterprise grow.

Advice will be free to entrepreneurs within reason. We will make a reasonable effort to learn about each venture, but because of the great number of "business opportunities" presented by entrepreneurs, we will not be able to perform due diligence reviews or determine which may have the greatest potential.

Due diligence reviews when paid for by the businesses seeking investors, results in a conflict of interest on the part of those performing reviews. Accepting payment from the party seeking investors, although it may not be improper, has the appearance of placing an obligation on the reviewer to provide a favorable report. An arrangement to be paid from investor's funds is in keeping with the nature of the contract. This is especially true when those who are expected to provide resources may actually have little or no expectation of providing the proposed assistance - but ask for the report anyway because they have no obligation to pay for the services.

For the benefit of persons seeking opportunities to invest, we will provide advice and endeavor to find situations that might present the best potential with the least risk. This will be based on a search and on due diligence reviews, for which we will expect to receive a fair fee based on time spent and value received. Note however, that is not the way it is usually done. This may not be acceptable because investors are not accustomed to paying for services and expect the entrepreneur to pay - even when the money to pay has to come from the money they invest. (Does this make sense?)

When entrepreneurs have ventures that appear to have a great merit -- we will work with them to make the enterprise ready. We will then help sell shares making use of current SEC Regulations and California law. When possible we will provide a source of loans from which the entrepreneur may borrow in order to pay for our services. Where possible we will also help the entrepreneur borrow money to pay for advertising and other costs in connection with the sale of shares.

The objective is to build a company that will prosper, provide employment, and pay dividends to those who own shares. By providing the best possible services, those we assist will succeed. Although we will look to compensation from services to cover costs, the compensation agreements will also include provisions that will enable the Company to share in the success of clients.

We will accept work from entrepreneurs, investors and companies seeking capital only after we have determined that the relationship will be one of mutual trust.
